Please review these Terms and Conditions ("Terms") carefully before accessing or using the Grootin music distribution platform. By accessing or using the site, you agree to be bound by these Terms and all incorporated references. If you do not agree to these Terms, you must not access or use the platform.
Grootin Music Entertainment Pvt. Ltd. ("Grootin", "we", "us") is a company registered under the Companies Act 2013, operating from 1st floor, 264-265, Dr Annie Besant Rd, Worli Shivaji Nagar, Worli, Mumbai, Maharashtra 400025, India.
Our Privacy Policy governs the collection, usage, and disclosure of personally identifiable information and forms an integral part of these Terms. By using the platform, you also agree to the terms of our Privacy Policy.
Users under the age of 18 may use the platform only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Account registration requires accurate and current information. You are responsible for maintaining the confidentiality of your password and must notify Grootin immediately of any unauthorised access or security breach.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Grootin reserves the right to suspend or terminate accounts that contain inaccurate, false, or outdated information.
By creating an account or using the platform, you consent to receive electronic communications from Grootin, including account notifications, transactional emails (receipts, royalty statements, distribution confirmations), service updates, and promotional communications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
You may opt out of promotional communications at any time by clicking the "Unsubscribe" link in any marketing email or by emailing hello@grootin.in. Transactional and account-related communications are essential to the service and cannot be opted out of while your account is active.
Grootin endeavours to provide accurate and up-to-date information on the platform; however, we offer no guarantee that all information is always current or complete. All materials on the platform are provided "as is" and "as available" without any warranties or conditions of any kind, whether express or implied, to the maximum extent permitted by applicable law.
All materials on the platform — including logos, designs, text, graphics, software, sound files, and other content — are the property of Grootin or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.
You are granted a limited, non-sublicensable licence to access and use the platform for personal, informational, and non-commercial purposes only. Resale, distribution, modification, public display, and creation of derivative works are strictly prohibited without prior written consent.
Grootin respects the intellectual property rights of others and expects users of the platform to do the same. If you believe that any content on the platform infringes your copyright, you may submit a takedown notice to our designated agent with the following information:

Upon receiving a valid takedown notice, Grootin will remove or disable access to the allegedly infringing material and notify the user who posted it. Repeat infringers may have their accounts terminated.
The Grootin name and the Grootin Logo are registered trademarks of Grootin Music Entertainment Pvt. Ltd. All other marks referenced on the platform belong to Grootin or their respective licensors. Prior written permission is required for any use of these trademarks.
You agree not to post, upload, or transmit any content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, invasive of privacy, or otherwise objectionable.
By submitting content to the platform, you grant Grootin a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use, reproduce, distribute, display, and create derivative works from such content in connection with the platform and Grootin's business. You represent and warrant that you own or have the necessary rights to grant this licence and that the content does not infringe upon the intellectual property rights of any third party.
To the fullest extent permitted by law, Grootin shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out of or in connection with your use of the platform, including damages for loss of profits, data, goodwill, or other intangible losses.
In no event shall Grootin's total aggregate liability to you for all claims arising out of or related to the platform exceed the total amount paid by you to Grootin during the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Grootin, its officers, directors, employees, and agents from and against any and all claims, damages, costs, and expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights (including intellectual property rights).
Grootin shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions or orders, war, terrorism, civil unrest, labour disputes, power failures, internet or telecommunications failures, cyberattacks, or disruptions to third-party services on which the platform depends.
During any such event, our obligations under these Terms shall be suspended for the duration of the force majeure event, and we will use reasonable efforts to resume performance as soon as practicable.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the platform, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate negotiation by sending a written notice to the other party describing the dispute and proposing a resolution.
If the dispute is not resolved through negotiation within 30 days, either party may refer the dispute to mediation under the rules of the Mumbai Centre for International Arbitration (MCIA). If mediation does not resolve the dispute within 60 days, either party may initiate binding arbitration under the Arbitration and Conciliation Act, 1996.
The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, in Mumbai, Maharashtra, and conducted in English. The arbitrator's decision shall be final and binding on both parties.
Nothing in this section shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect their rights.
Grootin reserves the right to modify, update, or revise these Terms at any time. When we make material changes, we will:
Your continued use of the platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the platform and may request account deletion.
These Terms are governed by and construed in accordance with the laws of India. Subject to the dispute resolution clause above, any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
Grootin reserves the right to terminate or suspend your access to the platform at any time, with or without prior notice, for any reason, including but not limited to breach of these Terms, fraudulent activity, or infringement of intellectual property rights.
Upon termination, your right to use the platform ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, dispute resolution, and governing law shall survive termination.
If you wish to terminate your account, you may do so by emailing hello@grootin.in with the subject line "Account Deletion Request".
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions.
The failure of Grootin to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Grootin.
These Terms, together with our Privacy Policy and Refunds & Cancellation Policy, constitute the entire agreement between you and Grootin regarding your use of the platform and supersede all prior agreements, communications, and understandings, whether written or oral.
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Grootin. Grootin may assign its rights and obligations under these Terms to any affiliate or successor entity without your consent, provided that the assignee agrees to be bound by these Terms.
